We further believe that we have a responsibility to work actively through our professional organizations — regional, state, national, and international — to promote the professional and educational advancement and welfare of professional nurs- es and to foster high standards of nursing practice. MISSION STATEMENT The Organizational mission of the California Nurses Association is: 1. To promote, advance, and ensure safe, therapeutic and effective health care for all. 2. To ensure that the registered nurse remains the direct care provider in all practice settings through collective bargaining, nursing practice enforce- ment, legislation, regulation, and nursing education. 3. To promote the involvement of every CNA member in leadership, representa- tion, development and empowerment of nurses in professional, employment, political and community arenas. Adopted by House of Delegates 1995 CNA Convention, Oakland i ARTICLES OF INCORPORATION OF THE CALIFORNIA NURSES ASSOCIATION Incorporated October 4, 1907, under the Law of the State of California Know all men by these presents: That we, the undersigned, have this day associated ourselves together for the purpose of incorporation under the laws of the State of California, a corporation to be known by the corporate name of "The California Nurses' Association." And we hereby certify: First: That the name of said corporation is The California Nurses' Association. Second: That the purposes for which it is formed are: To advance the profession of nursing. To secure the enactment and enforcement of good laws concerning it. To promote a friendly intercourse and loyalty to their profession among its members. To guard and foster their mutual interests. To unite all nurses in California in one organization and to affiliate with other bodies interested in nursing. To enlighten and direct public opinion regarding the problems of nursing, to the end that the profession shall become more capable and honorable, and of greater assistance in the prevention and cure of dis- ease and in prolonging and adding comfort to life. To publish pamphlets and periodicals to promote the foregoing ends, and to purchase, own, and sell stock in any corporation or cor- porations that publish said pamphlets or periodicals. To acquire and own all property of every kind permitted to it under the laws of the State of California. ii Third: That the place where its principal business is to be transacted shall be the City and County of San Francisco. Fourth: That the term of its existence is perpetual. Fifth: That the number of its directors shall be fourteen (14), which said number may be changed from time-to-time without further amend- ments of these Articles by the amendments of the bylaws in the manner provided by said bylaws and/or the laws of the State of California, the authority for changing the number of directors without amendment of these Articles being hereby con- ferred upon the members of this Association.
