At the end of each fis- cal year, excess funds will be reallocated to the region's line item. 6. Excess funds distributed on a per capita basis to new regional configu- rations will be maintained in a separate line item for that region until those funds are depleted. BYLAWS AMENDMENTS PROPOSED BY REGION 11 BOARD QUALIFIED SUBMISSION TO HOUSE OF DELEGATES: After consideration of the merits of this proposed Bylaws Amendment submitted by the Region 11 Board and in accordance with its duties under Bylaws Article IV, section 4, the Bylaws Committee has concluded this proposed amendment is "question- able" as provided in section 4(f) because the Amendment: (1) would impose rigid and inflexible administrative restrictions and significant operational burdens on the process of determining appropriate groupings for fair electoral representation, with the likely result of creating barriers to membership participation in democratic decision making procedures rather than promoting participatory democaracy; and (2) appears to be in potential conflict with the intent of the exist- ing CNA bylaw provisions proposed for amendment. Notwithstanding this determination of the Bylaws Committee, the amendment proposed by the Region 11 Board is submitted to the House of Delegates because the timeline for submission of proposed amendments and consideration by the Committee did not permit complete consideration by the CNA Board of Directors. ID #10 House of Delegates Representation Changes: Article XI, Section 2 is amended to include individual facilities as a basis for determining House of Delegates representa- tion. Rationale: CNA is stronger when we have more member buy-in and participation by members in all facilities. As currently structured, candidates from a large facility can overwhelm candidates from smaller facilities in the region, thereby providing the smaller facili- ties with no representation at the House. This bylaw protects the rep- resentational rights of smaller facilities, thereby improving the demo- cratic involvement of all members. Section 2. Delegates Representation in the House of Delegates shall be based on the num- ber of members in each region and facility. Delegates shall be elect- ed for the biennium by ballot by CNA members in good standing in that region; the number of delegates allocated is to be determined by the number of members appearing on the CNA membership records as of the end of the calendar year for that region, in the even-num- bered year preceding the CNA biennial House of Delegates; or thirty (30) days before a special meeting of the House of Delegates. A. Each facility in the region is entitled to one (1) delegate for its first one hundred (100) members or fraction thereof; PLUS, B. One (1) delegate for each additional one hundred (100) members or major fraction thereof. C. Each region shall also be allotted one (1) delegate for each one hundred (100) associate members in the region plus one (1) dele- gate for each additional one hundred associate members or major fraction thereof. D. The highest vote-getters from each facility up to the number allo- cated to that facility shall be elected to the House of Delegates. If there are not sufficient candidates from a facility to fill its allocat- ed representational seats, the position shall be filled from the next highest vote-getter in general after all other facility seats are allot- ted. E. The highest vote-getter(s) for each associate member seat allocat- ed shall be elected to the House of Delegates. If there are not suf- ficient candidates to fill the associate member positions allocated, positions shall be filled from the next highest vote-getter in gen- eral after all other seats are filled. F. Alternate delegates shall be elected in order of number of votes received in general after all other seats are filled. If there are not enough delegates or alternates elected to fill the regional quota, the delegates shall be selected as described in the House of Delegates rules, except that an effort shall be made to select delegates from the various facilities as per the originally allocated numbers. C. Alternate delegates, the number not to exceed its delegate quota, shall be elected by ballot to serve in the absence of delegates, or as described in the House of Delegates rules. D.G. The numbers of regular and associate member delegates allo- cated for each Region and facility shall be published in the California Nurse that has been mailed to the members at least thirty (30) days prior to the consent-to-serve deadlines. H. Facilities will be defined by the regional boards/governing bodies, who will send their recommendations to the Ballot Committee for final approval. I. Members who work at more than one facility shall be designated as coming from the facility where their dues are deducted or, in the case of other payment methods, where they provide the majority of their work.
